Use License

Subject to your compliance with these Terms, SayShan Technologies grants you a limited, non-exclusive, non-transferable, revocable license to:

2. Use the software, applications, or services we provide under the terms of your service agreement
3. Download and use materials from our website for personal, non-commercial use only

You may NOT:

• Modify, copy, or create derivative works based on our materials without written permission

This license automatically terminates if you violate any of these restrictions and may be terminated by SayShan Technologies at any time without notice.

Intellectual Property Rights

All content, features, and functionality on our website and in our services, including but not limited to text, graphics, logos, images, software, audio, video, and data compilations, are the exclusive property of SayShan Technologies or its licensors and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

Client Work Product:

For custom development projects, intellectual property rights to deliverables will be transferred to the client upon full payment, unless otherwise specified in a separate written agreement. SayShan Technologies retains the right to use general knowledge, skills, and techniques gained during project execution.

Our Portfolio Rights:

Unless you explicitly request otherwise in writing, we reserve the right to showcase completed projects in our portfolio, case studies, and marketing materials while respecting client confidentiality and non-disclosure agreements.

User Obligations

As a user of our services, you agree to:

• Provide accurate, current, and complete information during registration and use of services
• Maintain the security and confidentiality of your account credentials
• Notify us immediately of any unauthorized access to your account
• Use our services only for lawful purposes and in compliance with all applicable laws
• Respect the intellectual property rights of SayShan Technologies and third parties
• Cooperate with us in good faith during project development and delivery
• Provide timely feedback, approvals, and materials necessary for project completion
• Not interfere with or disrupt the operation of our services or servers

Confidentiality

SayShan Technologies takes the confidentiality of client information seriously. We will not disclose, share, or use any confidential information provided by you except:

• As necessary to perform our services under your agreement
• With your explicit written consent
• As required by law, court order, or legal process
• To protect our rights, property, or safety, or that of our users or the public

We implement industry-standard security measures to protect confidential information. For projects requiring additional security, we are willing to sign separate Non-Disclosure Agreements (NDAs) upon request.

Payment Terms

Payment terms for services are outlined in individual service agreements or proposals. General payment principles include:

• Project-Based Services: Typically require a 50% upfront payment, with remaining balance due upon completion
• Recurring Services: Billed monthly in advance unless otherwise specified
• Hourly Services: Billed weekly or monthly as agreed upon
• Payment Methods: We accept bank transfers, credit cards, PayPal, and other mutually agreed payment methods
• Late Payments: Invoices not paid within 15 days may incur a late fee of 1.5% per month
• Currency: All prices are in USD unless otherwise specified

Services may be suspended for accounts with overdue payments exceeding 30 days. Additional fees may apply for service restoration.

Warranties & Disclaimers

Our Limited Warranty:

We warrant that services will be performed in a professional and workmanlike manner consistent with industry standards. For software development projects, we provide a 90-day warranty period for bug fixes and issues directly related to our work.

Disclaimer of Warranties:

EXCEPT AS EXPRESSLY PROVIDED, OUR SERVICES AND WEBSITE ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

We do not warrant that:

• Our services will be uninterrupted, timely, secure, or error-free
• Results obtained from use of our services will be accurate or reliable
• Defects will be corrected immediately upon discovery
• Our website or servers are free from viruses or harmful components

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SAYSHAN TECHNOLOGIES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

• Your access to or use of or inability to access or use our services
• Any conduct or content of any third party on our services
• Any content obtained from our services
• Unauthorized access, use, or alteration of your transmissions or content

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL DAMAGES, LOSSES, OR CAUSES OF ACTION EXCEED THE AMOUNT PAID BY YOU TO SAYSHAN TECHNOLOGIES IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR $1,000 USD, WHICHEVER IS GREATER.

Termination

We reserve the right to terminate or suspend your access to our services immediately, without prior notice or liability, for any reason, including but not limited to breach of these Terms.

You may terminate your use of our services at any time by:

• Ceasing all use of our website and services
• Providing written notice of termination for ongoing service agreements
• Requesting deletion of your account and data (subject to legal retention requirements)

Upon termination:

• Your right to use our services will immediately cease
• We may delete your account and all associated data
• You remain responsible for all charges incurred prior to termination
• Provisions that by their nature should survive termination shall survive (including intellectual property, confidentiality, disclaimers, and limitations of liability)

1. Informal Resolution: We encourage you to contact us first to seek an informal resolution
2. Mediation: If informal resolution fails, parties agree to attempt mediation before pursuing litigation
3. Jurisdiction: Any legal action must be brought in the courts of Dhaka, Bangladesh
4. Language: All proceedings shall be conducted in English

For international clients, we are open to including arbitration clauses in individual service agreements for efficient cross-border dispute resolution.
